YanQi Capital SPC下屬的獨立投資組合【言起橫華全球精選阿爾法1号】基金已于2016年3月31日完成A級參與股首次發行(xíng)的募集，并于2016年4月1日正式成立

We, the undersigned, being together the holders of all of the issued management shares of the above-named company (the Company) and at the date hereof the only persons entitled to attend and vote at general meetings of the Company, hereby pass the following resolution with the Articles of Association of the Company: 

我們作(zuò)為(wèi)簽署人(rén)，和(hé)所有(yǒu)持有(yǒu)上(shàng)述公司發行(xíng)的管理(lǐ)股份的持有(yǒu)人(rén)，授權參加并在股東大(dà)會(huì)投票(piào)，現依據本公司章程作(zuò)如下決議：

IT IS HEREBY RESOLVED:

特此決議：

THAT  the Initial Offering of Class A Participating Shares of YanQi HGNH Global Alpha Plus One Segregated Portfolio, a segregated portfolio of the Company, has been completed as of 31^st March 2016. The proceeds of subscription for the Shares will be invested on behalf of the Segregated Portfolio in investments as set out in the offering memorandum of the Company and the supplemental offering memorandum in respect of the Segregated Portfolio from 1^st April 2016 onwards

本公司下屬的獨立投資組合言起橫華全球精選阿爾法1号基金已于2016年3月31日完成A級參與股首次發行(xíng)的募集。根據發行(xíng)備忘錄和(hé)補充備忘錄，這檔基金将在4月1日開(kāi)始進行(xíng)投資交易。

The resolution  above shall take effect as a special resolution of the Company.
